Commercial Terms

East Africa to the UAE · Fresh produce enquiries
Last updated: 24 October 2026

These commercial guidelines explain the points we confirm for each fresh-produce shipment. Product-specific quantities, dates, prices, payment arrangements and any special conditions are set out in the written quotation, Proforma Invoice or supply agreement. No unconfirmed minimum, payment percentage or dispatch period is implied by this page.

Pricing and quotation validity

Prices are confirmed in writing per kilogram, carton or other agreed packing unit, in USD or AED as specified in the quotation. Each quotation states its validity period, included charges and any applicable taxes or duties. Prices and availability before order acceptance are subject to harvest, market and freight conditions. Any change to an accepted order requires agreement under its contract.

Incoterms and named locations

The agreed Incoterms® 2020 rule and precise named origin or destination must appear on the quotation. There is no automatic default rule: please state your preference so we can confirm an appropriate offer.

  • Air or multimodal freight: FCA at an agreed origin location, or CPT to an agreed destination, may be quoted where suitable.
  • Sea freight: FOB at the named origin port or CIF to the named UAE destination port may be quoted where suitable. FOB and CIF are not airport delivery terms; container or terminal handovers may require FCA, CPT or another appropriate rule.
  • Other arrangements: DAP or another rule requires express written agreement. Freight payment, insurance and transfer of risk are separate matters: a seller-paid destination freight charge does not necessarily mean risk transfers at destination.

Minimum orders and trial shipments

Minimum quantities are confirmed by product, packing format, season and freight plan. Tell us your intended kilograms, cartons or pallets per shipment and whether you need a trial order. A smaller trial quantity is available only where specifically agreed; no universal pallet or consignment minimum is published.

Order confirmation

Following agreement on the quotation, a Proforma Invoice sets out the products, quantities, packing, price, shipment arrangements and payment requirements. An order is confirmed when the buyer accepts the Proforma Invoice in writing and any required deposit or advance payment has cleared, subject to the acceptance conditions stated in that document. An enquiry or automatic form acknowledgement does not reserve stock or confirm an order.

Payment, currency and bank charges

The Proforma Invoice confirms the payment schedule, USD or AED invoice currency, beneficiary details and allocation of sending, intermediary and receiving-bank charges. Advance payment, a deposit with the balance before dispatch, or an irrevocable Letter of Credit may be discussed; none is automatically offered or approved. TT/bank transfer and any documentary-credit arrangements must be agreed in writing before order confirmation. Credit, document conditions and bank acceptability require prior approval.

Lead times and transit

We confirm the estimated period from accepted order and cleared required payment to dispatch for each shipment. Harvest availability, packing, inspection, certification and the airline or shipping schedule affect this estimate. Transit time is stated separately from preparation and dispatch lead time. Fixed arrival deadlines must be expressly agreed; please tell us your required delivery date or season when enquiring.

Specification and packing

Goods are supplied to the specification agreed for the order, including product, variety, origin where specified, grade, size, quantity and packaging. Natural appearance may vary within that specification. Any private label or custom packing must be confirmed for feasibility, additional cost, artwork approval and applicable minimum quantity before the order is accepted.

Quality inspection

The order should set out the agreed pre-shipment checks, inspection criteria and any photographs to be provided before dispatch. Buyers may request a third-party inspection at origin, subject to agreed access and scheduling, at their own cost unless agreed otherwise. Photos or an origin inspection do not replace the agreed specification or override applicable rights concerning a valid claim.

Shipment documents and certifications

We confirm the document set before accepting an order. This normally includes the commercial invoice and packing list, together with a certificate of origin and phytosanitary certificate where required and available for the shipment. Tell us about destination-specific requirements at the quotation stage.

Halal, veterinary or health certificates for meat and poultry, and any GlobalG.A.P. or other certification, must be requested and individually verified for the relevant supplier, product and shipment. This page does not claim that Dosano Global or every product holds these certifications. Do not rely on a certificate until its applicability and validity have been confirmed.

Delivery, insurance and import responsibilities

Risk transfers at the point specified by the agreed Incoterm and supply contract. Insurance responsibilities depend on that rule and any additional written agreement. The buyer must confirm the import licences, permits and approvals needed for its shipment.

Under FCA, FOB, CPT, CIF and DAP, import clearance and import duties or taxes generally remain the buyer’s responsibility. CIF includes specified seller-arranged insurance and freight, but does not make the seller responsible for UAE import clearance. A different allocation, including any DDP arrangement, must be expressly agreed and legally feasible. Confirm the named place and all responsibilities on the quotation.

Quality or quantity claims

Inspect the shipment promptly on arrival and notify us without delay of any shortage or quality concern. The contract must state the applicable notification deadline and inspection procedure; no unconfirmed 24- or 48-hour cut-off applies automatically. Provide the invoice or order reference, arrival and inspection times, delivery note, clear photographs and, where relevant, an independent inspection report and temperature records.

Preserve reasonable evidence and handle the goods appropriately while the claim is investigated. Any agreed replacement, credit or proportionate refund, and any liability limit, are governed by the supply contract and applicable law. No automatic remedy or invoice-value cap is imposed by this general guidance.

Perishability and events outside reasonable control

Fresh produce is perishable and must be handled, stored and transported under the agreed conditions. Weather disruption, harvest shortfalls, flight or vessel cancellations, government restrictions and other events outside reasonable control may affect performance. Where such an event occurs, we will notify the buyer promptly and discuss reasonable mitigation or alternatives. Its effect on deadlines, cancellation and liability depends on the contract and applicable law; it is not an automatic exemption from every obligation.

Samples, cancellations and order changes

Samples are subject to availability and destination rules. Sample prices, courier or freight charges, and any credit against a first order are agreed before dispatch. Samples are not automatically free or deductible from an order.

Request changes or cancellation as early as possible. The quotation or Proforma Invoice must confirm any change cut-off and cancellation charges, including committed procurement, packing or freight costs. Changes depend on feasibility and written acceptance. Deposit treatment follows the agreed contract and applicable law; there is no automatic forfeiture rule on this page.

Governing law and resolving concerns

We aim to resolve concerns amicably through direct discussion first. Applicable UAE law and courts with competent jurisdiction govern these general website guidelines, subject to mandatory legal rules. Any arbitration provision or different transaction-specific dispute arrangement must be expressly agreed in the supply contract.

Read our Terms and Conditions and Privacy Policy. A signed or otherwise accepted supply agreement takes priority for its transaction.
